Networking For Charity LLC (“Networking For Charity”) provides its services subject to the terms and conditions of this User Agreement and our Privacy Policy. Your access to and use of our services is expressly conditioned on your compliance with these terms and conditions. Networking For Charity reserves the right to modify these terms and conditions at any time, and without prior notice, by posting amended terms on this website. Your continued use of the Networking For Charity Service indicates your acceptance of the amended terms and conditions. This User Agreement and our Privacy Policy, which are hereby incorporated by reference, contain the entire agreement (the “Agreement”) between Networking for Charity and you with respect to this site. Any rights not expressly granted herein are reserved.

The Networking For Charity Service

Networking For Charity is an online service that helps its members reach and build goodwill with influential people, using a donation to their favorite charity as an incentive to meet. Networking For Charity members can also raise money for their favorite charity by meeting people who want to meet them in-person or by telephone. We leverage social networking to help raise money for charities, at no cost to them. We do not take donations ourselves or on the behalf of any charity. Our members act as volunteers for their favorite charities. Our service is free to join, with only a small administrative fee to send meeting requests to people you want to meet.

Code of Conduct

You understand and agree not to use Networking For Charity to:

1) Post, email, upload, or otherwise transmit any Content, or initiate any communication, that is unlawful, abusive, harmful, obscene, libelous, defamatory, threatening, harassing, discriminatory, or otherwise objectionable.

2) Post, email, upload, or otherwise transmit any Content, or initiate any communication, that you do not have a right to transmit under any law or under contractual agreement or relationship.

3) Post, email, upload, or otherwise transmit any Content, or initiate any communication, that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party.

4) Post, email, upload, or otherwise transmit any unauthorized or unsolicited advertising, promotional materials, "spam," "junk mail," "pyramid schemes," "chain letters," "multi-level marketing" or any other form of solicitation, except in areas that may be designated for such purpose.

5) Post, email, upload, or otherwise transmit any Content, or initiate any communication that contains software viruses or any other computer code, programs, or files designed to destroy, interrupt, or limit the functionality of any computer software, hardware, or telecommunications equipment.

6) Intentionally or unintentionally violate any applicable state, local, national or international law or securities regulations.

7) Falsely state, impersonate, or otherwise misrepresent your identity, including but not limited to the use of a pseudonym, or misrepresenting your affiliations with a person or entity, past or present, or your current or previous positions and qualifications.

8) Interfere with or disrupt the Networking For Charity Service or servers or networks connected to the Networking For Charity Service, or disobey any policies, procedures, requirements, or regulations of networks connected to the Networking For Charity Service.

9) Stalk or otherwise harass any person, including but not limited to any Networking For Charity member, employee, or volunteer.

10) Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Networking For Charity Service.

Membership Eligibility

The Networking For Charity Service may not be used by people under the age of 18 or any member suspended or removed from the service by Networking For Charity for any reason. Members must reside in the United States, or U.S. Territories. Members may not have more than one active Networking For Charity account. You are solely responsible for all use of your account.

Monitoring, Disclosure, and Enforcement

We have the right to, but are not obligated to, monitor your activity and communications associated with the Networking For Charity Service, and may disclose content and information about you, including contents of communications, if we deem it reasonably necessary to conform to:

1) legal requirements or respond to legal process;

2) ensure your compliance with this User Agreement including maintaining our service and our Code of Conduct; or

3) protect the rights, property, personal safety or interests of Networking For Charity, its employees, volunteers, customers, or the public.

Since we do not, and may not have the ability to, control or actively monitor content, we don’t guarantee its quality, accuracy, or integrity. You may contact our Customer Care Team to let us know of content that you find objectionable, but because situations and interpretations vary, we reserve the right not to take any action. Under no circumstances will Networking For Charity be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any damage or loss of any kind incurred as a result of the use of, access to, or denial of access to any content on our website.

Termination of Use

You agree that Networking For Charity may, in its sole discretion, with or without cause, terminate your Networking For Charity account, and access to the Networking For Charity Service and all related information, without prior notice. Without limiting the foregoing, Networking For Charity may terminate a user’s use of the Networking For Charity Service for lack of use, or if Networking For Charity believes that you have violated or acted inconsistently with the letter or spirit of this User Agreement. Networking For Charity may also in its sole discretion and at any time discontinue providing the Networking For Charity Service, or any part thereof, with or without notice. Further, you agree that Networking For Charity shall not be liable to you nor any third-party for any termination of your account or access to the Networking For Charity Service. If you are dissatisfied with the Networking for Charity Service, this website, its content, or this User Agreement, your sole legal remedy is to discontinue use of this website.

Access to the Networking For Charity Service

We prohibit access to the Networking For Charity Service for data collection, aggregation, mining or extraction. We authorize an exception for general purpose internet search engines. You agree not to deep-link to internal pages of our website, to “frame” content or to otherwise simulate the appearance of our website. You also agree not to take any action that interferes with the proper working of, or places an unreasonable load on, our infrastructure. Furthermore, you agree not to copy our web pages or the content included herein.

Username, Password, Security

You will create a username and password during the user registration process. You are responsible for maintaining the confidentiality of your username and password and for maintaining and promptly updating this account information to keep it true, accurate, current, and complete. If you provide any information that is fraudulent, untrue, inaccurate, incomplete, or not current, or we have reasonable grounds to suspect that such information is fraudulent, untrue, inaccurate, incomplete, or not current, we reserve the right to suspend or terminate your account without notice and to refuse any and all current and future use of the Networking for Charity Service. You are fully responsible for all activities that occur under your username and password with or without your knowledge. You agree to immediately notify Networking For Charity of any unauthorized use of your username or password, or any other breach of security. You further agree that you will not permit others, including those whose accounts have been terminated, to access the Networking for Charity Service using your account or User ID. You grant Networking For Charity, its affiliated companies, and all other persons or entities involved in the operation of the Site the right to transmit, monitor, retrieve, store, and use your information in connection with the operation of the Site and in the provision of services to you. Networking For Charity cannot and does not assume any responsibility or liability for any information you submit, or your or third parties’ use or misuse of information transmitted or received using Networking For Charity's Service. Information on this Website

Users of the Networking For Charity Service may provide information about themselves which may be visible to certain other users. You agree that by posting materials on the Networking For Charity website or otherwise providing materials to Networking For Charity, you are granting to Networking For Charity a royalty-free, perpetual, irrevocable license to use this information in the course of offering the Networking For Charity Service.

You also understand that Networking For Charity cannot guarantee the identity of any other users with whom you may interact in the course of using the Networking For Charity Service. Networking For Charity Communications

Networking For Charity may need to communicate with you via email, telephone, fax, postal mail, or other methods in the course of providing you services. You agree to receive these communications, which are specific to your account and necessary for the normal functioning of the Networking For Charity Service. You also agree to have your name and/or email address listed in the header of certain communications which you initiate through the Networking For Charity Service. Fees

Registering for a basic Networking For Charity account is free. We charge an administrative fee for sending Meeting Requests to other members, and for sending Charity Express Meeting Requests to people that may or may not be members of Networking For Charity. By using the Networking For Charity Service and by becoming a Member, you acknowledge that we reserve the right to charge for the Networking For Charity Service or a portion of the Networking For Charity Service, and have the right to terminate a membership for failure to pay for the Networking For Charity Service.

International Use

Networking for Charity is based in Needham, Massachusetts, in the United States of America. Networking for Charity makes no claims that Networking for Charity and the content on the Networking for Charity Service are appropriate or may be downloaded outside of the United States. Access to the content may not be legal by certain persons or in certain countries. If you access the Networking for Charity Service from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

Intellectual Property

You acknowledge and agree that the Networking For Charity Service, the Networking For Charity Web Site, and any necessary software used in connection with the Networking For Charity Service contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in information presented to you through the Networking For Charity Service may be protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws.

Networking For Charity owns and retains, to the fullest extent of the law, all rights in the Networking For Charity Service including but not limited to any of its patented processes, trade secrets, copyrighted material, trademarks, and other proprietary information. Indemnity

You agree to defend, indemnify and hold harmless Networking For Charity, its subsidiaries, affiliates, officers, employees, volunteers, agents, and other partners from and against any and all claims, damages, costs and expenses, including reasonable attorneys' fees, arising from or related to your use or misuse of the Networking for Charity Service, including, without limitation, your violation of this Agreement, your infringement or infringement by any other subscriber or user of your account, of any intellectual property right or other right of any person or entity, and any direct, indirect, incidental, special, consequential or exemplary damages resulting from 1) your use or misuse of the Networking For Charity Service; 2) unauthorized access to or alteration of your communications with or through the Networking For Charity Service, or 3) any other matter relating to the Networking For Charity Service. Any business transactions which may arise between users from their use of Networking For Charity are at the sole risk and responsibility of the users involved.

Limitation of Liability

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL OR EQUITABLE THEORY, WHETHER IN TORT, CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, SHALL NETWORKING FOR CHARITY BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF NETWORKING FOR CHARITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). BECAUSE SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

THE NETWORKING FOR CHARITY WEBSITE AND ALL INFORMATION IT CONTAINS IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, NETWORKING FOR CHARITY ASSUMES NO RESPONSIBILITY FOR THE ACCURACY OR EXISTENCE OF ANY COMMUNICATIONS BETWEEN USERS. NETWORKING FOR CHARITY DOES NOT ASSUME ANY RESPONSIBILITY FOR PROMPT OR PROPER DELIVERY, OR RETENTION OF COMMUNICATIONS BETWEEN USERS OR ANY USER INFORMATION. NETWORKING FOR CHARITY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, NETWORKING FOR CHARITY MAKES NO WARRANTY THAT 1) THE NETWORKING FOR CHARITY SERVICE WILL BE SECURE, UNINTERRUPTED, TIMELY, OR ERROR-FREE, 2) THE NETWORKING FOR CHARITY SERVICE WILL MEET YOUR REQUIREMENTS, 3) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE NETWORKING FOR CHARITY SERVICE WILL BE ACCURATE OR RELIABLE, 4) THE QUALITY OF ANY SERVICES, PRODUCTS, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE NETWORKING FOR CHARITY SERVICE WILL MEET YOUR EXPECTATIONS, AND 5) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

Entire Agreement

This User Agreement constitutes the entire agreement between you and Networking For Charity and governs your use of the Networking For Charity Service, superseding any prior agreements between you and Networking For Charity.

Governing Law

This User Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflicts of laws provisions.

General

Networking For Charity, the Networking For Charity logo, and other Networking For Charity logos and names are trademarks of Networking For Charity LLC. You agree not to display or use these trademarks in any manner without Networking For Charity's prior, written permission. The section titles of this User Agreement are displayed for convenience only and have no legal effect. You understand and agree that this User Agreement and any notices given pursuant to this User Agreement are enforceable in electronic format. The failure of Networking For Charity to exercise or enforce any right or provision of this User Agreement shall not constitute a waiver of such right or provision.
